Stoa Grappling — Membership Terms and Conditions

These are the terms and conditions ("Terms") on which Stoa Grappling Ltd ("Stoa Grappling", "we", "us", "our"), a company registered in England and Wales (company number 17226472) of 46A Bird In Bush Road, London, SE15 6RW, provides gym, Brazilian Jiu-Jitsu and grappling membership services from Stoa Grappling Ltd, 35 Chiswell Street, London EC1Y 4SE (the "Club"). By purchasing a membership, class pack or day pass through our website, in person, or by any other means, you ("you", "your", the "Member") agree to be bound by these Terms — please read them carefully before purchasing.
These Terms apply to all membership types offered by Stoa Grappling. Where a term applies only to a specific membership type, this is stated. Our separate Health & Safety Policy, Hygiene Policy, Club Etiquette & Code of Conduct, Privacy Policy and Junior Members & Safeguarding Policy (available on our website and in Club) form part of your agreement with us and are incorporated into these Terms by reference.
1. Definitions
In these Terms, the following words have the following meanings:
"Class Pack" means a pre-paid bundle of a fixed number of classes, valid for the period stated at the time of purchase.
"Contract" means the contract between you and us for the supply of your chosen membership, formed in accordance with clause 5.
"Day Pass" means a pass entitling you to attend all classes scheduled at the Club on a single calendar day of your choice.
"Founder Member" means a Member who joins on the "Stoa Origins" pricing tier described in clause 2.5.
"Membership" means the ongoing right to attend the Club and participate in classes in accordance with the membership type you purchase, as further described in clause 2 and the Membership Schedule.
"Membership Fee" means the fee payable for your Membership, as set out at the time of purchase and, for a Monthly or Annual Membership, the applicable pricing tier under clause 2.4.
"Week Pass" and "Month Pass" mean a single-payment pass entitling you to unlimited classes at the Club for 7 or 30 consecutive days respectively, as further described in the Membership Schedule.
"Minor" or "Junior Member" means a Member under the age of 18.
"Parent/Guardian" means the parent or legal guardian of a Junior Member.
"we/us/our" means Stoa Grappling Ltd.
"you/your" means the individual Member, or, in respect of a Junior Member, the Parent/Guardian who enters into the Contract on that Junior Member's behalf.
2. Membership Types and Classes
2.1 We currently offer the membership types set out below (the "Membership Schedule"). Current prices are shown on our website at the time of purchase and prevail over any price shown here.

2.2 We may introduce new membership types, or withdraw or amend existing ones, at any time. This will not affect the terms of a Membership you have already purchased for its then-current term.
2.3 A Membership entitles you to attend the classes and use the facilities included within your chosen membership type, subject to the Club's timetable, capacity limits, and any fair-usage policy we may apply from time to time.
2.4 Our Monthly and Annual Memberships are available at the pricing tiers set out below, according to the eligibility criteria stated. Each tier is priced and billed on the same terms as the Monthly Membership (rolling) or Annual Membership (fixed term) row above — the tier affects only the fee payable, not your rights or obligations under these Terms.

2.5 Stoa Origins — Founder Membership.
The Stoa Origins rate is available only to Members who join during our founding period, running from 19 August 2026 until 1 January 2027 or until we have issued 100 Founder Memberships, whichever happens first. Once the founding period ends or the cap is reached, the Stoa Origins rate is withdrawn and will not be re-offered to new Members. The Stoa Origins rate applies for the first 12 months of a Founder Member's Membership only (an agreed freeze under clause 9.3 pauses, but does not extend, this 12-month period beyond its originally agreed end date). For a Monthly Membership, this means the £160 rate applies for the first 12 monthly payments, after which the Membership continues at the then-current standard rate for the tier the Member is eligible for (see clause 2.4), unless we tell the Member otherwise. For an Annual Membership, the £1,600 rate applies to that first 12-month fixed term; on renewal under clause 8.4, the Membership moves onto a rolling monthly Membership at the then-current standard monthly rate. If a Founder Membership is cancelled and the Member later rejoins, they will pay the then-current standard rate for the membership type chosen, and will not be entitled to the Stoa Origins rate again.
2.6 Discount, Student and Sibling tiers. If you fail to provide satisfactory proof of eligibility for a Discount, Student or Sibling tier at sign-up or at any renewal, or if you cease to meet the eligibility criteria for your tier, we may move your Membership to the Full Price tier from your next payment date, having given you reasonable notice. Where a Sibling Membership is priced against another Member's Membership at the same address, and that other Membership ends for any reason, the remaining Member's fee will move to the standard applicable rate from their next payment date.
2.7 Our class timetable is published on our website and may change from time to time, including during holiday periods; we will give reasonable notice of permanent changes where practicable. Some classes may have limited capacity and require advance booking.
2.8 We may, at our discretion, change instructors, class formats or curriculum, provided the overall standard and nature of instruction is maintained.
3. Eligibility and Minors
3.1 You must be at least 16 years old to purchase an adult Membership. Members aged 16 or 17 may join an adult Membership only with the written consent of a Parent/Guardian.
3.2 Junior Members (under 18) may only train at the Club as part of a designated junior class, and a Parent/Guardian must complete our registration and consent process, including consent to emergency medical treatment, before the Junior Member's first session.
3.3 A Parent/Guardian remains responsible for a Junior Member's conduct, attendance and Membership Fees, and by registering a Junior Member confirms they have authority to agree to these Terms on the Junior Member's behalf.
3.4 A Parent/Guardian must remain contactable and, where our policies require it, present on-site during a Junior Member's session.
3.5 You confirm when purchasing a Membership that the information you provide to us (including your name, age, contact and emergency contact details, and health information) is accurate and complete, and you will tell us promptly if it changes.
3.6 Our procedures for the collection and hand-over of Junior Members at the start and end of a session, and how we communicate with Parents/Guardians, are set out in our Junior Members & Safeguarding Policy, which a Parent/Guardian must read and agree to as part of our registration process for a Junior Member.
4. Health Declaration and Assumption of Risk
4.1 Brazilian Jiu-Jitsu, grappling and related activities are contact sports carrying an inherent risk of physical injury, even when properly taught, supervised and practised in accordance with our rules. By becoming a Member, you acknowledge and accept this inherent risk.
4.2 You confirm that you are in good enough physical health to participate in the classes and activities offered at the Club, and that you are not aware of any medical condition, injury or other reason that would make it unsafe for you to do so. If you are in any doubt, you should seek advice from a doctor before joining or before participating in any particular class, and you should tell your instructor about any relevant condition or injury before each session.
4.3 You must inform Club staff immediately of any injury, illness, pregnancy or change in your health that may affect your ability to train safely, and must follow any instruction from our instructors or staff to modify or stop your participation.
4.4 You must comply with our Health & Safety Policy and Hygiene Policy at all times, including rules on nail and personal hygiene, appropriate training kit, use of mats and equipment, and reporting of injuries.
4.5 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or for any other liability which cannot lawfully be excluded or limited (see clause 12).
5. Becoming a Member
5.1 You may purchase a Membership, Class Pack or Day Pass through our website, by completing our sign-up process, or in person at the Club.
5.2 The Contract is formed, and these Terms take effect, when we accept your order — which we do by confirming your Membership (for example, by email confirmation or by processing your first payment), even if actual payment is taken slightly later.
5.3 We reserve the right to decline any membership application at our reasonable discretion, for example where we reasonably believe admitting you would pose a safety risk to you or others, or where our classes are at capacity.
6. Your Right to Cancel (Cooling-Off Period)
6.1 If you purchase a monthly rolling or annual Membership through our website or by phone (i.e. "at a distance", without meeting us face-to-face), the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you the right to cancel that Contract for any reason within 14 days of the day the Contract is formed, without giving a reason (the "Cooling-Off Period").
6.2 To cancel during the Cooling-Off Period, tell us clearly — by emailing info@stoagrappling.com or using the cancellation method described in your confirmation email — that you wish to cancel. If you cancel within the Cooling-Off Period, we will refund any payment you have made, less an amount for any classes or sessions you have already attended (see clause 6.4), within 14 days of your cancellation.
6.3 If you want to start training immediately, before the Cooling-Off Period has ended, you must expressly ask us to begin your Membership straight away. By ticking the relevant box at checkout, you make this request and acknowledge that if you then cancel during the Cooling-Off Period, you will pay for the sessions you attended before you cancelled, calculated pro-rata against the full Membership Fee, and you will not receive a full refund.
6.4 If you do not expressly ask us to start your Membership within the Cooling-Off Period, we will not grant you access to classes until the 14 days have passed.
6.5 Day Passes booked for use on a specific date are treated as leisure services to be supplied on a specific date, and accordingly are not subject to the 14-day cancellation right described in this clause 6 (Consumer Contracts Regulations 2013, Schedule 2). Our separate cancellation terms for Day Passes are set out in clause 9.
6.6 This clause 6 is in addition to, and does not affect, your right to cancel an ongoing rolling Membership by giving notice under clause 8.
7. Fees, Payment and Price Changes
7.1 Membership Fees are as shown on our website or as otherwise agreed with you in writing at the time of purchase, and are payable in advance, inclusive of any applicable VAT.
7.2 Monthly rolling Memberships are paid by recurring card payment or direct debit through our nominated payment provider, taken on the same date each month (or the next working day). You must keep your payment details up to date.
7.3 If a payment fails, we will attempt to collect it again and/or contact you to update your payment details. We may suspend your access to the Club until any overdue amount is paid, and may charge a reasonable administration fee for failed payments where permitted by law.
7.4 Class Packs and Day Passes are non-transferable to another person unless we agree otherwise in writing, and are non-refundable once purchased, except as required by clause 6 or by law. Unused classes in a 10-Class Pass Pack expire 3 months after purchase.
7.5 Price increases and inflation. We may increase Membership Fees for an existing rolling Membership no more than once in any 12-month period. Any such increase will not exceed the annual percentage change in the UK Consumer Prices Index (CPI), as published by the Office for National Statistics for the most recently available 12-month period, plus 2 percentage points. We will give you at least 30 days' written notice of any price increase before it takes effect; if you do not agree, you may cancel under clause 8 before the change takes effect. A price change will not apply to a fixed-term annual Membership until it renews under clause 8.4.
8. Cancelling Your Membership
8.1 Monthly rolling Memberships. You may cancel a monthly rolling Membership at any time by giving us at least 30 days' written notice (by emailing info@stoagrappling.com or via your online member account). Your Membership, and your obligation to pay the Membership Fee, will continue until the end of that notice period. We do not refund any part of a monthly payment already taken.
8.2 Annual (fixed-term) Memberships. An annual Membership is a fixed 12-month commitment. Save as set out in clause 8.3, you may not cancel an annual Membership, or stop paying the Membership Fee, before the end of the 12-month term.
8.3 Early exit from an annual Membership. We will release you from the remainder of a fixed-term annual Membership, without further charge, if you provide medical evidence (e.g. a doctor's letter) that you are unable to continue training for the remainder of the term due to injury, illness or pregnancy.
8.4 At the end of the 12-month fixed term, an annual Membership will automatically renew onto a rolling monthly Membership at our then-current monthly rate, unless you give us at least 30 days' written notice before the renewal date that you do not wish to renew.
8.5 Notice of cancellation must be given by the account holder (or, for a Junior Member, their Parent/Guardian) and takes effect from the date we receive it.
9. Pausing Your Membership and Cancelling Bookings
9.1 A Day Pass booked for a specific date may be rescheduled to a different date free of charge up to 24 hours before the first class of that day starts. Cancellations made after this point, or failure to attend any class on the booked day ("no-shows"), are non-refundable.
9.2 We may cancel or reschedule a class at short notice, for example due to instructor unavailability. Where we cancel a class you have booked, we will offer you a refund or a credit against a future class, at your choice.
9.3 You may request to freeze a monthly or annual Membership for a period of injury, illness, pregnancy, or extended travel, of up to 3 months in any 12-month period, giving reasonable advance notice where possible. No Membership Fee is payable during an agreed freeze period, and for an annual Membership the freeze period is added to the end of your fixed term. We may ask for reasonable supporting evidence (e.g. a doctor's note) for freeze requests relating to injury or illness.
10. Club Rules, Conduct and Etiquette
10.1 You must comply with our Club Etiquette & Code of Conduct, our Health & Safety Policy, and our Hygiene Policy at all times, and with any reasonable instruction given by our staff or instructors.
10.2 We operate a zero-tolerance approach to bullying, harassment, discrimination, or dangerous or disrespectful conduct on the mats or elsewhere in the Club.
10.3 You are responsible for your own belongings while at the Club. We do not accept liability for loss of, or damage to, personal property, except where caused by our negligence.
11. Suspension and Termination by Us
11.1 We may suspend or terminate your Membership immediately, without refund, if you:
(a) seriously or repeatedly breach these Terms or our policies referred to in clause 10;
(b) behave in a way that puts the safety of others at risk;
(c) fail to pay any Membership Fee when due and do not remedy this within 14 days of us asking you to; or
(d) provide false information in connection with your Membership.
11.2 Where reasonably practicable, we will give you a warning and an opportunity to respond before suspending or terminating your Membership, except in cases of serious misconduct or immediate safety risk.
11.3 We may also terminate your Membership by giving you at least 30 days' written notice for any other reason, in which case we will refund any Membership Fees you have paid in advance for a period after the termination takes effect.
12. Our Liability
12.1 Nothing in these Terms excludes or limits our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability which cannot lawfully be excluded or limited under English law.
12.2 Subject to clause 12.1, we are not liable for any loss or damage that is not a reasonably foreseeable result of our breach of these Terms or our negligence, or for any indirect or consequential loss.
12.3 Subject to clause 12.1, our total liability to you for any claim relating to your Membership, whether in contract, tort (including negligence) or otherwise, will not exceed the total Membership Fees paid by you in the 12 months before the event giving rise to the claim.
12.4 We maintain public liability insurance in connection with the operation of the Club. Details are available on request.
13. Photography, Filming and Data Protection
13.1 We may take photographs or video at the Club for promotional purposes (including social media and our website). If you do not want to appear in this content, please tell us in writing at info@stoagrappling.com and we will exclude you so far as reasonably practicable; for Junior Members, a Parent/Guardian's consent is required before we use any image of a Junior Member.
13.2 We may use CCTV at the Club for security purposes, in accordance with our CCTV policy.
13.3 We process your personal data (including health information you provide to us) in accordance with our Privacy Policy, available on our website and in Club, which explains what data we collect, why, and your rights under UK data protection law.
14. Complaints
14.1 If you are unhappy with any aspect of your Membership or our service, please contact us at info@stoagrappling.com in the first instance, and we will aim to respond within 5 working days.
15. General
15.1 Changes to these Terms. We may update these Terms from time to time, for example to reflect changes in the law or how we operate the Club. We will give you at least 30 days' notice of any material change that affects your existing Membership, and will publish the updated Terms on our website.
15.2 Transfer. You may not transfer your Membership to another person without our written consent. We may transfer our rights and obligations under these Terms to another business that continues to operate the Club, provided this does not materially reduce your rights.
15.3 Severability, third-party rights and entire agreement. If any provision of these Terms is found to be unenforceable, the rest of these Terms will remain in effect. No one other than you and us has any right to enforce these Terms. These Terms, together with the policies referred to in them, set out the entire agreement between you and us regarding your Membership.
15.4 Governing law and jurisdiction. These Terms are governed by the law of England and Wales, and any dispute will be dealt with by the courts of England and Wales. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
